These Terms and Conditions (the “Agreement”) constitute a legally binding contract between Jaybant Limited (“we,” “us,” “our,” or the “Company”), a company incorporated under the laws of [Ontario,], and you, the individual or entity accessing our website at knewestbeauty.com (the “Website”) or purchasing our products, including but not limited to facial machines and non-invasive fat reduction devices (collectively, the “Products”). By accessing the Website, placing an order, or using any Product, you expressly acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety, without modification. If you do not agree, you must immediately cease all use of the Website and refrain from purchasing or using any Products.

1. Definitions

1.1 “User” or “You” means any individual, corporation, partnership, or other entity that accesses the Website or purchases Products.

1.2 “Products” means the facial machines, non-invasive fat reduction devices, and any related accessories sold through the Website.

1.3 “Order” means a request by You to purchase Products from us.

1.4 “Intellectual Property” means all patents, trademarks, copyrights, trade secrets, designs, and other proprietary rights related to the Products and Website.

2. User Eligibility and Responsibilities

2.1 Age and Capacity. You represent and warrant that you are at least 18 years of age (or the age of majority in your jurisdiction) and possess the legal capacity to enter into this Agreement.

2.2 Safe Use Acknowledgment. The Products are sophisticated electronic devices intended for cosmetic and non-medical fat reduction and facial treatment applications. By purchasing or using any Product, you expressly acknowledge and agree that:

(a) You have carefully reviewed and fully comprehend the Instructions for Use, User Manual, and all safety warnings provided with the Product;

(b) You are solely responsible for determining your own suitability to operate the Product safely;

(d) You will not use the Product on individuals with medical conditions that may be exacerbated by radiofrequency, ultrasound, cavitation, or other technologies employed by the device, including but not limited to pregnancy, pacemaker implantation, epilepsy, cancer, or active skin infections;

(e) You assume full responsibility for any training, certification, or licensing required under applicable local laws to operate such equipment.

2.3 Prohibited Uses. You shall not:

(i) Use the Product for any purpose other than its intended cosmetic application;

(ii) Modify, disassemble, reverse-engineer, or tamper with the Product;

(iii) Resell, lease, or distribute the Product in violation of applicable export controls or sanctions;

(iv) Make any representation that the Product is approved for medical treatment or therapeutic use unless expressly authorized in writing by the Company.

3. Ordering and Acceptance

3.1 Order Placement. All Orders are subject to acceptance by the Company. We reserve the right to refuse or cancel any Order for any reason, including but not limited to Product availability, errors in pricing, or suspected fraud.

3.2 Order Confirmation. Upon receipt of payment, we will issue an electronic order confirmation. This confirmation does not constitute acceptance until the Product is shipped.

3.3 Pricing. All prices are listed in Canadian currency and exclude applicable taxes, duties, customs fees, and shipping charges unless otherwise stated. We reserve the right to modify prices at any time prior to Order acceptance.

4. Payment Terms

4.1 Accepted Payment Methods. We accept the following payment methods:

• Visa

• Debit Cards

• MasterCard

• Apple Pay

4.2 Payment Authorization. By submitting payment information, you authorize us to charge the total Order amount, including taxes and shipping. You represent that you are the lawful holder of the payment method.

4.3 Currency and Exchange. All transactions are processed in CAD. You are responsible for any currency conversion fees imposed by your financial institution.

4.4 Failed Payments. If a payment fails, we may suspend Order fulfillment and pursue collection, including reasonable administrative fees.

5. Shipping and Delivery

5.1 Global Shipping. We ship Products worldwide via reputable carriers. Delivery timelines are estimates only and not guaranteed.

5.2 Risk of Loss. Title and risk of loss pass to you upon delivery to the carrier. You are responsible for filing claims for lost or damaged shipments.

5.3 Customs and Duties. For international Orders, you are the importer of record and must comply with all customs laws. You are solely liable for any import duties, tariffs, or taxes.

6. Cancellation and Refund Policy

6.1 Pre-Shipment Cancellation. You may cancel an Order prior to shipment by contacting us at

+1 (416) 294-1213. Cancellation requests must include your Order number.

6.2 Post-Shipment Returns. Returns are accepted within 30 days of delivery provided:

(a) The Product is unused, in original packaging, with all accessories and documentation;

(b) You obtain a Return Merchandise Authorization (RMA) number;

6.3 Refund Processing. Refunds, less original shipping fees and a 15% restocking fee, will be issued to the original payment method within 14 business days of receipt and inspection of the returned Product.

6.4 Non-Refundable Items. The following are non-refundable:

• Products used or damaged by the User;

• Customized or special-order items;

• Hygiene-sensitive accessories (e.g., treatment heads).

7. Limited Warranty

7.1 One-Year Limited Warranty. Subject to the limitations below, we warrant that the Product will be free from defects in materials and workmanship for one (1) year from the date of delivery (the “Warranty Period”).

7.2 Warranty Coverage. During the Warranty Period, we will, at our sole discretion, repair or replace a defective Product provided:

(a) You notify us in writing within 10 days of discovering the defect;

(b) You ship the Product to our facility at your expense;

7.3 Exclusions. This warranty does not cover:

(i) Damage from misuse, abuse, accident, modification, or unauthorized repair;

(ii) Normal wear and tear, including disposable components;

(iii) Damage from improper voltage, water exposure, or environmental conditions;

(iv) Issues arising from failure to follow maintenance protocols;

(v) Consequential, incidental, or indirect damages.

7.4 Sole Remedy. Repair or replacement is your sole and exclusive remedy under this warranty. THE WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability and Disclaimer

8.1 No Medical Claims. The Products are not medical devices and are not intended to diagnose, treat, cure, or prevent any disease. Results may vary. Use at your own risk.

8.2 Disclaimer of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, JAYBANT LIMITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM:

(a) YOUR USE OR INABILITY TO USE THE PRODUCTS;

(b) PERSONAL INJURY, PROPERTY DAMAGE, OR EMOTIONAL DISTRESS;

(d) ANY DEFECT, DELAY, OR FAILURE IN THE PRODUCTS.

8.3 Cap on Liability. OUR TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

8.4 Indemnification. You agree to indemnify, defend, and hold harmless the Company from any claims, losses, or damages (including reasonable legal fees) arising from your breach of this Agreement, misuse of the Products, or violation of any law.

10. Governing Law and Dispute Resolution

10.1 Governing Law. This Agreement shall be governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

10.2 Exclusive Jurisdiction. Any dispute arising under this Agreement shall be resolved exclusively in the courts located in Toronto, Ontario. You consent to personal jurisdiction therein.

10.3 Class Action Waiver. You agree that any proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action

11. Force Majeure

We shall not be liable for delays or failure to perform due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, supply chain disruptions, or governmental actions.

12. Miscellaneous

12.1 Entire Agreement. This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.

12.2 Severability. If any provision is held invalid, the remainder shall continue in full force.

12.3 Waiver. No waiver of any term shall be deemed a continuing waiver.

12.4 Assignment. You may not assign this Agreement without our written consent. We may assign freely.

12.5 Amendments. We reserve the right to update this Agreement at any time. Continued use of the Website or Products after posting constitutes acceptance of the revised terms.
